By using the Platform, you agree to comply with and be bound by these terms that dictate your use of the Platform ( “Platform Terms of Use”) of Policy Reporter and its affiliates (collectively, “Policy Reporter”). Please review the following Platform Terms of Use carefully.

You shall: (i) notify Policy Reporter immediately of any unauthorized use of any password or account or any other known or suspected breach of security; (ii) not impersonate another Policy Reporter user or provide false identity information to gain access to or use the Platform.

1. Description of Service

Policy Reporter may provide you with access to certain proprietary materials (“Materials”), resources, data, links and downloads, including medical policy related information (collectively, and together with Materials, the “Service”). The scope of the Service specific to you is outlined in the “Order Form” you completed.

2. Copyright and Intellectual Property; Trademark and Service Marks

The Platform contains content that is protected by copyright, trademark, patent, and/or other intellectual property laws and rights, and any unauthorized use of the content of the Platform may violate such laws. The trademarks, logos, and service marks displayed on this Platform (collectively, “Marks“) are the property of Policy Reporter, its parent company or other third parties. You shall not change or remove any of the Marks without the prior written consent of Policy Reporter or such third party that may own the Marks. All other trademarks and registered trademarks are the property of their respective owners. The Platform is copyrighted and owned by Policy Reporter including its parent company.

3. Your Responsibilities

You are responsible for all activity occurring under your user accounts and shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the Platform, including those related to data privacy, international communications and the transmission of technical or personal data.

You may use the Platform for lawful purposes only. If you submit information through the Platform, it must be accurate and complete, and must not be offensive or illegal. You will not create a false identity or impersonate any person.

You may not use the Platform in any manner that could damage, disable, overburden or impair our servers or networks, or interfere with another’s use and enjoyment of the Platform. You may not attempt to gain unauthorized access to the Platform or other users’ accounts, or Policy Reporter or our vendor(s)’ computer systems or networks including through hacking, password mining, or other means.

You may not use any program, application, script, or other means to access, scrape, index, data mine, or extract any portion of the Platform or transmit any virus or other malware to or though the Platform. You may not modify, adapt, reverse engineer, decompile, or disassemble any portion of any of the Platform.

You may not post or transmit any information or engage in any behavior or activity that is false, misleading, unlawful, offensive, disruptive, harmful, or otherwise objectionable (as determined by Policy Reporter).

You may not assist any person or entity in engaging in any of the prohibited activities described above.

4. LIMITATION OF LIABILITY

POLICY REPORTER INCLUDING ITS AFFILIATES ACCEPT NO RESPONSIBILITY FOR ANY LOSS OR DAMAGE THAT MAY RESULT FROM USING THE PLATFORM, INCLUDING LIABILITY FOR HARM TO YOUR SYSTEMS OR DEVICES, VIRUSES, MALWARE, OR OTHER INTERFERRING OR DISABLING DEVICES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POLICY REPORTER DISCLAIMS ALL LIABILITY WHATSOEVER, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND FURTHER DISCLAIMS ALL LOSSES (INCLUDING WITHOUT LIMITATION INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES) ARISING OUT OF OR IN ANY WAY CONNECTED WITH ACCESS TO OR USE OF THE PLATFORM, AND YOUR INABILITY TO USE THE PLATFORM, EVEN IF POLICY REPORTER HAS BEEN ADVISED OF THE POSSIBILITY SUCH DAMAGES. IF THIS LIMITATION IS PROHIBITED BY LAW, THEN THE MAXIMUM LIABILITY SHALL BE ONE THOUSAND DOLLARS ($1,000).

5. GOVERNING LAW

The use of this Platform and these Platform Terms of Use shall be governed by, and all disputes related to or in connection with this Platform or these Platform Terms of Use shall be resolved in accordance with, the laws of the State of North Carolina unless that law or another law requires otherwise. Any claims, actions, or proceedings related to this Platform or these Platform Terms of Use must be brought in the courts of the State of North Carolina and, by using this Platform, you agree to submit to the jurisdiction of these courts.
